Article I: Name and Place of Business
Name: Chico Women’s Club, Inc

Article II: Mission and Vision
Mission
The Chico Women’s Club is a non-partisan, non-profit women’s organization supporting the community by promoting the arts, education, and community building. We maintain our historical building and our 1911 Steinway grand piano so that they can be used by the community for concerts, dances, classes and lectures, weddings, and charitable functions.
Vision
The 21st century Chico Women’s Club recognizes that these are pivotal times in which women’s values and skills will play an essential part in creating a sustainable future. We come together out of an impulse of service that provides personal fulfillment and community. We support personal growth along with creativity and we celebrate the power of the arts.
Our vision is to support local community groups, individuals and artists to have access to an affordable venue centered on the Arts, Education and Community building.
Article III: Membership
Section 1: Eligibility
Membership is open to community members of all genders. Voting privileges are limited to female members.
Section 2: Dues
The Board of Trustees sets the dues.
Regular Membership – current annual dues of $50.00, paid annually.
Section 3: Meetings
There will be an annual birthday meeting/celebration each September. Other member meetings happen throughout the year and are organized by members and approved by the board.
Section 4: Voting
Eligible members shall elect the Board of Trustees at the annual meeting or as seats become available. The Board of Trustees vote and all other issues to be voted on shall be decided by a simple majority of those at the meeting by raising the hand.
Article IV: Board of Trustees
Section 1: General Powers
The Chico Women’s Club shall be managed by its Board of Trustees. The Board of Trustees shall have control of and be responsible for the management of the affairs and property of the Club. The BOT shall write and amend the bylaws.
Section 2: Number, Tenure, and Duties
The number of Trustees shall be fixed from time to time by the Trustees but shall consist of no less than five nor more than seven, including the following officers: the President, the Secretary, and the Treasurer. The Trustees shall be elected by the members at the annual meeting or when seats become available. The President’s term shall be one year and is eligible for one more consecutive term. The terms for the rest of the officers shall be three years and are eligible for consecutive terms. Board of Trustees members must attend at least seven of the nine regularly scheduled monthly meetings to continue eligibility. Attendance through Zoom, Google meet or Facetime is acceptable.
President: The President shall preside at the annual meetings and at the Board of Trustees meetings. The President shall oversee the Board of Trustees and the committees.
Treasurer: The Treasurer meets with the bookkeeper periodically and reports monthly to the Board of Trustees. The treasurer does not write any checks. Only the bookkeeper writes checks. The treasurer and at least two other Board of Trustees members will be a signatory on the checking account.
Secretary: The Secretary prepares the monthly agenda for the BOT and takes notes during meetings. She sends them to every board member, and posts them on the CWC drive.
Section 3: Board of Trustees Meetings
The Board of Trustees meets monthly except during hiatus in June, July, and August. If Board of Trustees business is being conducted during the hiatus, the full Board of Trustees will be contacted by email or phone. Occasionally, extra meetings are called to conduct club business.
Section 4: Leave of Absence for Board of Trustees
An initial leave of absence for any reason can be requested for three months, at the end of which the leave can be reassessed.
Section 5: Grievances in the Board of Trustees
Any grievance by a board member will be brought to the next board meeting and discussed in person. A formal process of action will be agreed upon.
Section 6: Removal of Board of Trustees Member
If a Board of Trustee member presents problem behavior over time, and it has been unable to be resolved, or if a board member’s actions exhibit a clear violation of fiduciary or other board duties, removal can be achieved by taking a vote of no confidence by the Board of Trustees and passing the vote with a simple majority.
Article V: Committees
Committees are formed on a volunteer basis. The Board of Trustees will appoint the Chairpersons. These committees are current but can be changed or eliminated with Board approval.
Building & Grounds
Consults with Rental Agent and other Board of Trustees members for proper care of the building and grounds.
Membership
Keeps monthly record of members and reports to Board of Trustees.
Events Coordinator – Liaison for events sponsored by other groups and consults with the Board of Trustees for our own events.
Media/Website/Facebook/Outreach
Works on our online presence.
Scholarship
Contacts high schools for girls going to Butte College.
Article VI: Amendments
These bylaws may be amended in whole or in part by a simple majority of the Board of Trustees with prior notice having been given at the previous meeting of the board.
Article VII: Dissolution
The property of this Corporation is irrevocably dedicated to charitable purposes and no part of the net income or assets of this Corporation shall ever insure to the benefit of any officer or member thereof or the benefit of any private person. Upon the dissolution or winding up of the Corporation, its assets remaining after payment of all debt and liabilities of this Corporation, shall be distributed to a nonprofit fund, foundation or Corporation which is organized and operated exclusively for charitable purposes and which has established its tax exempt status in Section 501 (c) (4) of the Internal Revenue Code.
